Our Terms and Agreement

You should read all of these terms carefully.

Your use of this Website and any of the Techpay Limited services means that you have accepted all of the terms and conditions contained in this Agreement and all other agreements found on this site including the Privacy Policy

In this Agreement, "you" or "your" or "User" refers to any person or entity using the service. Unless otherwise stated, "Techpay," "we" or "our" or "us" will refer collectively to TechPay Limited and its subsidiaries, affiliates, directors, officers, employees, agents and partners.

You and Techpay are jointly referred to as 'the Parties' in this document,

General

  1. You represent that you have the capacity to enter into this Agreement.

  2. That you are an adult, eligible to operate banking services and that you are not under any contractual inhibition known to your national or international law.

  3. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforceable.

  4. You agree that this Agreement and all incorporated agreements may be automatically assigned by TechPay to a third party in the event of a merger or acquisition.

  5. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section(s).

  6. Our failure to act with respect to a breach by you or others does not amount to a waiver of our right to act with respect to subsequent or similar breaches.

  7. The non-specification of a particular legal or equitable remedy shall not be construed as a waiver, prohibition or limitation of any legal or equitable remedies in the event of a breach of any of the clauses.

  8. Each of the Parties acknowledge that it is acting as an independent contractor, and each Party has the sole right and obligation to supervise, manage, direct, procure, perform, or cause to be performed, all work or other obligations to be performed by such Party under this agreement.

Assurance Disclaimer

You agree that your use of the website shall be at your sole risk. To the fullest extent permitted by law, TechPay, its officers, directors, employees, and agents disclaim all assurances, express or implied, in connection with the website and your use thereof. Techpay makes no assurances or representations about the accuracy or effectiveness of this site’s information given by you or made available on the website and assumes no liability or responsibility for any;

  1. errors, mistakes, or inaccuracies of information,

  2. trauma or pecuniary loss, of any nature whatsoever, resulting from your access to and use of our website,

  3. any unauthorized access to or use of our service and/or any and all personal information and/or financial information stored therein,

  4. any interruption or cessation of transmission to or from our website,

  5. any bugs, viruses, or the like which may be transmitted to or through our website by any third party, and/or

  6. any errors or omissions in any information or for any loss or damage of any kind incurred as a result of the use of our service or loss of information given, emailed, transmitted, or otherwise made available via the website. Techpay does not warrant, endorse, guarantee, or assume responsibility for any defect or error occurring from the use of service offered by a third party through the website. Techpay will not be a party to or in any way be responsible for monitoring any transaction between you and third-party service providers. As with the use of service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate

Use Policy

The following activities constitute a violation of the Acceptable use of this platform

  1. Using the Techpay service to make or receive payments for any illegal, fraudulent, immoral or otherwise socially reprehensible purposes.

  2. Using the Techpay service to make or receive payments for any narcotics, other controlled substances, steroids or illicit drugs.

Limitation of Liability

In no event shall Techpay be liable for loss of income, profits, business, opportunity, contracts or any indirect, special, incidental or consequential damages arising out of or in connection with our platform, our service, or this Agreement.

Our liability to you or any third party in any circumstance of proven liability by us, shall not exceed the fees paid to us in respect of the specific transaction that gave rise to the claim or liability.

Third Party Links

The Techpay website may contain links to third party websites that are not owned or controlled by Techpay. Techpay has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party websites.

By providing access to the linked websites, neither Techpay nor its third party providers are recommending, endorsing or sponsoring any aspect of those websites, including the transmission of software, downloading or uploading of content, or any goods, services or securities available thereon. You forever hold Techpay and its third party providers harmless from any and all claims, obligations and/or liability arising in connection with the use of any such links

Indemnification

You agree to indemnify and hold Techpay, harmless from any claim or demand (including attorneys' fees) made by you or any third party arising wholly or partly from your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party relating to your use of the Service.

Warranty and Service Distribution

We agreed that the service will in all material respects, deliver on the agreed terms herein. Should the service be disrupted to such an extent that there is likely to be an adverse effect to the service provided, we will endeavor to notify you of such within a reasonable time.

In the event of any service delay or failure, we shall take necessary steps to ensure speedy service restoration and reduce to the barest minimum the extent of such service failures. However, we shall not be liable to you for any loss or damage.

Confidentiality

By the nature of this Agreement, the parties may have access to information that is confidential to one another, such confidential information shall include the parties' business methods, salary structure, marketing strategies, pricing, competitor information, and all other information designated as confidential by either party. Each party agrees to maintain the confidentiality of such information and to protect the other party's confidential information by using all reasonable efforts to prevent any unauthorized copying, use, distribution, installation or transfer of possession of such information.

Whole Agreement

This agreement and any documents referred to herein constitute the entire agreement between the parties and supersede any and all prior agreements between the parties, whether oral or written, with respect to the subject matter thereof.

Applicable Law

This Agreement shall be governed by and interpreted according to the laws of the Federal Republic of Nigeria and shall be subject to the exclusive jurisdiction of Nigerian courts.

Improvement and Changes

All changes to this application functions and services shall be published by Techpay from time to time on the website https://techpay.ng and https://lagos.techpay.ng All such published changes shall form part of this Agreement.

Techpay has the right at any time, in its sole discretion, to revise and to otherwise modify this Agreement, and to impose new or additional Terms or Conditions (collectively, “Additional Terms”) on your use of the services available on or through our Website. Such Additional Terms are effective immediately and are incorporated into this Agreement when posted by Techpay to the Website. Use of the Website following such notice indicates your acceptance of all such Additional Terms.

Although we may attempt to notify you when major changes are made to these terms and conditions, you should periodically review the most up-to-date version.

Termination of Service

Techpay has the right, at any time, to modify or discontinue, temporarily or permanently, the services, information, materials and other content we offer through the Website, and/or to refuse or restrict anyone from access to any such services, information, materials and other content, with or without notice and in its sole discretion. Techpay shall not be liable for any modification, suspension or discontinuance of any services

Force Majeure

Neither Party shall be responsible for any delay in carrying out its obligations if performance is prevented or delayed wholly or in part as a consequence of force majeure. Force majeure means any circumstance beyond the reasonable control of Techpay including

  • Riot, war, acts of terrorism, civil war, rebellion, revolution, insurrection of military or usurped power;

  • Earthquake, flood, and/or other natural physical disaster, but excluding weather conditions regardless of severity;

  • Strikes at a national level or industrial disputes at a national level, or strikes or industrial disputes by labour not employed by the Affected Party and which affect a substantial portion of the provision of the services under this agreement

  • Acts or orders of governments or governmental bodies (including legislative bodies, local or port authorities), changes to any general or local Statute, Ordinance, Decree or other Law or any regulation or bye-law of any local or other duly constituted authority or the introduction of any such Statute, Ordinance, Decree, Law, regulation or bye-law

  • Regulatory authority’s intervention negating the intention and terms of this agreement

In the event of a Force Majeure occurrence, the Affected Party shall promptly notify the other Party in writing, giving the full particulars thereof and shall use all reasonable endeavours to remedy the situation immediately.
